These Terms of Use ("Terms") constitute a legally binding agreement between you and MetaDx Lab, Inc. ("MetaDx Lab", "we", "us", or "our"). By accessing metadxlab.org, requesting a demo, or using our diagnostic services, you agree to be bound by these Terms. If you are accessing the services on behalf of a veterinary practice or organization, you represent that you have authority to bind that entity to these Terms.
If you do not agree to these Terms, you must not use our website or services. We reserve the right to modify these Terms at any time. Continued use of our services after changes are posted constitutes acceptance of the updated Terms. We will provide reasonable notice of material changes by updating the "Last updated" date and, for registered users, by email notification.
MetaDx Lab provides AI-assisted veterinary diagnostic panel analysis services to licensed veterinary professionals. Our platform analyzes blood biomarkers submitted from veterinary practices against our validated machine learning models to identify patterns associated with specific disease conditions in canine and feline patients.
Our services are delivered as clinical decision support tools. The outputs of our platform — including all reports, scores, flags, and findings — are intended to supplement the clinical judgment of a licensed veterinarian. They are not intended to replace physical examination, complete patient history review, or the professional judgment of the treating veterinarian.
MetaDx Lab continually updates its models and diagnostic capabilities. We reserve the right to modify, expand, or discontinue any aspect of the service with reasonable notice to active users. We will not discontinue the delivery of reports for samples already submitted and in processing without fulfilling those obligations first.
Access to MetaDx Lab's diagnostic portal is restricted to licensed veterinary professionals operating in jurisdictions where the use of AI-assisted diagnostic support tools is legally permitted. By submitting samples or accessing the diagnostic portal, you represent and warrant that you hold a valid veterinary license in the jurisdiction where the animal patient is being treated.
To use our portal, you must create an account providing accurate and complete information including your name, practice name, practice address, and veterinary license number. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at info@metadxlab.org if you suspect unauthorized access to your account.
MetaDx Lab reserves the right to verify license status and to suspend or terminate accounts where we cannot confirm professional eligibility. We may also suspend accounts that we determine are being used in violation of these Terms.
You agree to use MetaDx Lab's services only for lawful veterinary clinical purposes. Specifically, you agree that you will:
Submit samples only from animal patients under your direct veterinary care or the care of your practice. Provide accurate information about sample type, collection date, and the panel analysis requested. De-identify all patient submissions to avoid including pet owner names, contact information, or personally identifiable human information in sample submissions. Use the reports we generate only to support clinical decisions for the animal patient from which the sample was taken.
You agree that you will not use our services to: process samples from animals not under your veterinary care; resell or redistribute our reports to third parties without our written consent; attempt to reverse-engineer or replicate our analytical models; submit artificial or synthetic samples for any purpose including testing or benchmarking without our prior authorization; or use our platform for any purpose that violates applicable law or regulation.
MetaDx Lab reports are based on statistical pattern recognition across biomarker data. Like all diagnostic tools, our platform has inherent limitations. Our reports may include false positives (flagging a condition that is not present) and false negatives (not flagging a condition that is present). Detection accuracy varies by condition, breed, age, and sample quality.
All findings in MetaDx Lab reports require clinical interpretation by a licensed veterinarian before any treatment decision is made. MetaDx Lab reports are not diagnoses. They are probabilistic assessments of biomarker patterns that may be associated with specific conditions. A MetaDx Lab report indicating elevated risk for a condition does not confirm that condition is present, and a report indicating no elevated risk does not confirm the animal patient is free of that condition.
The treating veterinarian bears full clinical and professional responsibility for all diagnostic and treatment decisions. MetaDx Lab explicitly disclaims any liability for clinical outcomes resulting from reliance on our reports without appropriate veterinary clinical judgment.
All content on metadxlab.org, including but not limited to text, graphics, logos, button icons, images, data compilations, and software, is owned by or licensed to MetaDx Lab, Inc. and is protected by United States and international intellectual property laws.
The diagnostic models, biomarker analysis algorithms, scoring methodologies, and report generation systems that underpin our services are proprietary to MetaDx Lab and are protected as trade secrets and by applicable intellectual property law. Two methods underlying our biomarker panel approach are the subject of pending patent applications.
You are granted a limited, non-exclusive, non-transferable license to access and use our website and services for lawful veterinary professional purposes consistent with these Terms. This license does not include the right to: download or copy account information for the benefit of another provider; use data mining or automated tools to extract information from our platform; frame or use framing techniques with any of our trademarks; or create derivative works based on our platform or reports.
Reports generated by MetaDx Lab for your patient submissions are provided to you for clinical use in treating the specific animal patient from which the sample was taken. You may include report information in your patient records. You may not redistribute, publish, or commercialize report content without our written permission.
By using our services, you grant MetaDx Lab a perpetual, irrevocable license to use de-identified, aggregated diagnostic data derived from your submissions to validate and improve our machine learning models. All data used for this purpose is stripped of practice identifiers, patient identifiers, and any information that could be used to identify the submitting practice or the animal patient.
This use of de-identified data is fundamental to our scientific obligation to maintain and improve detection accuracy. We publish our validation methodology publicly. If you have concerns about how your aggregated data contributes to model training, please contact us to discuss options.
Panel analysis services are provided on a per-submission basis at the rates set forth in your service agreement or our published pricing schedule. Payment is due upon submission or per the invoicing terms in your practice agreement. We reserve the right to suspend services for accounts with outstanding balances beyond 30 days past due.
All fees are non-refundable once a panel analysis has been initiated. If a sample is determined to be unsuitable for analysis due to quality issues, we will notify you and may, at our discretion, offer to reprocess a replacement sample at no additional charge.
MetaDx Lab's services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, error-free, or that the results obtained will meet your specific clinical requirements. We do not warrant that our platform will be compatible with all practice management systems or LIMS configurations.
To the maximum extent permitted by applicable law, MetaDx Lab, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use our services, including but not limited to damages for lost profits, loss of data, or harm to animal patients resulting from clinical decisions made in reliance on our reports.
In no event shall MetaDx Lab's total cumulative liability to you exceed the total amount you paid MetaDx Lab for the specific panel report or service directly at issue in the claim.
You agree to indemnify, defend, and hold harmless MetaDx Lab, Inc. and its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to: your violation of these Terms; your use of our services in a manner inconsistent with their intended clinical support purpose; your violation of any applicable law or regulation; or any false or misleading information you provide in connection with your account or sample submissions.
These Terms are governed by the laws of the State of California, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or your use of MetaDx Lab's services shall be resolved through binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association, conducted in San Diego County, California.
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm pending the outcome of arbitration. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration involving MetaDx Lab.
